Terms of Use — Algohive

These Terms of Use ("Terms") govern your access to and use of the Algohive software, the website at algohive.io, the Telegram bot, and any related services (collectively, the "Service" or "Platform"). The Service is operated by the Algohive team ("we", "us", "our").

By creating an account, connecting an API key, or otherwise using the Service, you ("you", "User") confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. What Algohive Is — and What It Is Not

1.1 Software, not a financial service

Algohive is software-as-a-service ("SaaS") designed to automate trading on exchanges and prop-trading platforms that you already use. The Service connects to your personal account on third-party platforms (such as Upscale, Binance, Bybit, OKX) using your own API key.

1.2 What we are NOT

We are not:

  • a broker, dealer, exchange or custodian;
  • a financial institution or bank;
  • a prop-trading firm or proprietary trading desk;
  • a money manager, investment adviser or portfolio manager;
  • a cryptocurrency exchange or swap service;
  • a payment processor or e-money issuer.

1.3 What we do not do

We do not:

  • accept, hold, transfer or withdraw your funds;
  • execute trades on our own books — every trade is executed on your account, on a third-party exchange or prop platform;
  • custody, exchange, or convert cryptocurrency;
  • offer investment advice, portfolio management, or signals on a discretionary basis;
  • guarantee any trading result, profit, or performance.

1.4 Where the trades happen

All trades generated by Algohive bots are sent to the third-party platform you connected, via that platform's API, using an API key that you created on that platform. The API key has trade-only permissions — withdrawal rights must be disabled at the platform level. We cannot and do not initiate withdrawals from your account.

2. Eligibility

To use the Service, you represent and warrant that:

  1. You are at least 18 years old and have the legal capacity to enter into these Terms under the laws of your country of residence.
  2. You are not a resident or citizen of the United States, nor of any jurisdiction subject to comprehensive sanctions by the United States, the United Kingdom, the European Union, or the United Nations.
  3. You are not on any sanctions list, including the U.S. OFAC Specially Designated Nationals list, the UK HM Treasury consolidated list, or any equivalent list maintained by the EU or UN.
  4. You do not use VPN, proxy, or any anonymization tool to circumvent access restrictions that apply to the Service or to your country of residence.
  5. You are not using the Service on behalf of any restricted person or for any purpose prohibited by applicable law.

If at any time we determine that you no longer meet these eligibility requirements, we may suspend or terminate your account without notice.

3. No Investment Advice

The Service is provided for informational and software-automation purposes only. Nothing on the Platform constitutes:

  • investment, financial, or trading advice;
  • a recommendation to buy, sell, or hold any digital asset;
  • a solicitation to enter into any transaction;
  • an individual investment recommendation (IIR) under any applicable law.

You are solely responsible for your trading decisions. You should conduct your own research, assess your financial situation and risk tolerance, and consult a qualified financial adviser before making any investment decision.

4. How the Service Works

4.1 Your API key

When you connect an API key from a third-party platform to Algohive:

  • the key is transmitted over a secure (TLS) connection;
  • it is encrypted with AES-256-GCM before being stored;
  • it is used only to send trade orders to the connected platform;
  • it is never shared with third parties.

You are responsible for creating the API key with trade-only permissions on the underlying platform. If you grant withdrawal rights to your API key, you do so at your own risk, and we are not liable for any resulting loss.

4.2 Bots and strategies

Algohive offers pre-configured trading bots (such as Hunter, Spotter, Pathfinder, Sentinel, Compass, Sonar, Radar, Wolf) and the ability to customize certain parameters (such as risk per trade, take-profit, stop-loss, and trading pairs). The bots generate trade signals based on technical indicators, market scanners, and rule-based logic.

We do not guarantee that any bot or strategy will be profitable. Past results, including any backtest data shown on the Platform, do not guarantee future performance.

4.3 Platform availability

We aim for high uptime but do not guarantee uninterrupted operation. The Service may be temporarily unavailable due to maintenance, software updates, third-party API outages (exchange, prop platform, market data providers), network issues, cyberattacks, or force majeure events.

5. Prohibited Conduct

You agree not to:

  1. Use the Service for any purpose that violates applicable law, including anti-money-laundering (AML) and counter-terrorism financing (CTF) laws.
  2. Engage in market manipulation, including spoofing, layering, front-running, wash trading, or any practice intended to deceive other market participants.
  3. Exploit errors, latency, or glitches in the Service or in third-party platforms (such as arbitrage between an exchange's last price and its actual market price).
  4. Reverse-engineer, decompile, or attempt to extract the source code of the Service.
  5. Share, resell, or transfer your account to a third party.
  6. Attempt to gain unauthorized access to other users' data, accounts, or API keys.
  7. Use the Service in any manner that could damage, disable, or overload the Service or any third-party infrastructure (e.g. DDoS attacks).
  8. Impersonate another user or misrepresent your identity.

Violation of these rules may result in immediate account suspension or termination, without refund of any subscription fees paid.

6. Subscription and Payments

6.1 Plans

The Service offers three (3) subscription plans:

  • FREE — $0 / month. Limited features for evaluation.
  • PRO — $49 / month (or equivalent in USDT). Full bot access, all exchanges, full backtest center.
  • ENTERPRISE — $99 / month (or equivalent in USDT). Higher limits, priority support, advanced bots (such as Wolf SMC Scanner).

Prices are displayed on the Platform in USD. Where you pay in a different currency or via a payment method that requires currency conversion, the final amount may differ based on the processor's exchange rate and fees. We may introduce additional plans in the future.

6.2 Payment method

Subscription fees are processed by a certified third-party payment processor that we integrate with. We currently support the following payment methods:

  • СБП (Russian interbank fast payment system);
  • Russian bank cards (МИР, Visa, Mastercard issued by banks of the Russian Federation);
  • International bank cards (Visa, Mastercard issued in USD/EUR, for non-residents);
  • USDT (TRC-20) — direct cryptocurrency transfer to the wallet address provided on the Platform.

Card and bank transfer processing. When you pay by card or via СБП, your card or bank credentials are submitted directly to the payment processor and are not received, stored, or transmitted by Algohive. The processor shares with us only the payment status (paid / pending / failed) and a transaction reference.

USDT payments. When you pay in USDT, we record the sender wallet address and the transaction hash. Always send USDT from a wallet you control with a clean transaction history.

We do not store your card number, CVV, bank account number, or any other sensitive payment credential at any point.

6.3 No refunds

All subscription payments are non-refundable. By completing a payment, you acknowledge that you are paying for access to the software for the subscription period, and no refund will be issued for unused time, regardless of the reason.

6.4 No automatic renewal

Subscriptions do not auto-renew. We do not store your payment method and cannot charge you automatically. Five (5) days before your subscription expires, we will send a reminder via Telegram. To continue using the Service, you must manually renew your subscription before it expires.

6.5 Cancellation

You may cancel your subscription at any time in your dashboard. Cancellation takes effect at the end of the current paid period — you retain access until then. No partial refund is issued for the remaining time.

6.6 Price changes

We may change subscription prices at any time. Price changes apply only to new subscriptions and renewals, not to the currently active subscription period.

7. Your Responsibilities

You are solely responsible for:

  1. The accuracy of the API key you connect and the permissions you grant to it.
  2. The security of your Algohive account credentials (nickname, password, 2FA if enabled).
  3. The trading decisions made by bots on your behalf, including any losses they may generate.
  4. Monitoring your positions and available margin on the underlying platform.
  5. Complying with the terms of service of the third-party platform you have connected (Upscale, Binance, Bybit, OKX, etc.).
  6. Any tax obligations arising from your trading activity.

8. Intellectual Property

8.1 Our rights

The Service, including its software, source code, design, brand, and content, is owned by the Algohive team and protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for the duration of your active subscription, in accordance with these Terms.

8.2 What you cannot do

You may not:

  • copy, modify, distribute, or create derivative works based on the Service;
  • rent, lease, lend, or sell access to the Service;
  • use the Algohive name, logo, or brand without our prior written consent;
  • remove any copyright or proprietary notices from the Service.

8.3 Your content

You retain ownership of any content you submit to the Service (such as your nickname, account settings, and bot configurations). You grant us a worldwide, royalty-free license to use, store, and process this content solely as necessary to provide the Service to you.

9. Disclaimers

9.1 "AS IS"

The Service is provided on an "AS IS" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, whether express or implied, including but not limited to:

  • implied warranties of merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted or error-free operation.

9.2 No guarantee of profit

We do not guarantee that any bot, strategy, or trade will be profitable. Trading digital assets involves substantial risk of loss, and you may lose your entire capital.

9.3 Third-party services

The Service relies on third-party platforms (exchanges, prop firms, market data providers, blockchain networks). We are not responsible for any failures, outages, hacks, or limitations of these third-party services.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Algohive, its team, contractors, and affiliates shall not be liable to you for any:

  • direct, indirect, incidental, special, consequential, or punitive damages;
  • loss of profits, revenue, or goodwill;
  • loss of data, API keys, or access to your account;
  • loss arising from unauthorized access to your account;
  • loss arising from exchange or prop-platform failures, hacks, or liquidations;
  • loss arising from delayed, lost, or incorrectly transmitted orders;
  • loss arising from regulatory action against you, the underlying platform, or any third party.

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Algohive, its team, contractors, and affiliates from and against any and all claims, losses, damages, costs (including reasonable attorneys' fees), and expenses arising from:

  1. Your use of the Service;
  2. Your violation of these Terms;
  3. Your violation of any third-party rights or applicable law;
  4. Any trading activity conducted through bots connected to your account.

12. Termination

12.1 By you

You may terminate your account at any time in your dashboard. Account termination does not entitle you to a refund of any subscription fees paid.

12.2 By us

We may suspend or terminate your account at any time, with or without notice, if:

  1. You violate these Terms;
  2. We suspect fraudulent, abusive, or illegal activity;
  3. We are required to do so by law or by a competent authority;
  4. We discontinue the Service or any feature thereof.

Upon termination, your right to use the Service immediately ceases. We may delete your data after a reasonable period, except where retention is required by law or for legitimate business purposes (such as fraud prevention).

13. Risks of Cryptocurrency Trading

Trading in digital assets involves substantial risk. A detailed description of these risks is provided in our Risk Disclosure document, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Risk Disclosure.

14. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by an event beyond our reasonable control, including but not limited to:

  • acts of God, natural disasters, epidemics, or pandemics;
  • war, terrorism, civil unrest, or sanctions;
  • government or regulatory actions;
  • failures of internet, telecommunications, cloud, blockchain, or other third-party infrastructure;
  • cyberattacks, DDoS attacks, or exchange outages;
  • abnormally volatile market conditions.

During a force majeure event, we may suspend or restrict the Service, pause bot activity, delay any pending operation, and take any other reasonable action to protect the integrity of the Service and its users.

15. Changes to These Terms

We may update these Terms from time to time. The updated version becomes effective on the date it is posted on the Platform. If you do not agree with the updated Terms, you must stop using the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

The Service is offered without binding it to any specific jurisdiction. Any dispute, claim, or controversy arising out of or relating to these Terms shall, where possible, be resolved by good-faith negotiation between you and the Algohive team.

Where negotiation fails, the dispute may be submitted to ad-hoc arbitration under the rules of a neutral international arbitration institution, to be agreed upon by both parties. The language of arbitration shall be English. This Terms shall not be governed by the laws of any single state to the extent permitted by applicable mandatory law.
